The Opportunity:

As Legal Counsel at Pole Star, you will be the sole legal professional managing IP/Data rights and SaaS contracts for our growing technology company. This role is ideal for someone with 3-5 years of post-qualification experience (PQE) who has a strong background in IP/Data rights and SaaS agreements. You will play a crucial role in ensuring legal compliance and protecting our intellectual property.

Responsibilities:

Intellectual Property / Data Rights:

  • Provide expert guidance on intellectual property and data rights matters.
  • Develop and implement strategies to protect and maximise the value of the organisation's intellectual assets.
  • Conduct comprehensive legal analysis to ensure compliance with data protection regulations.

Contract Drafting, Review, and Negotiation:

  • Lead the drafting, review, and negotiation of a wide range of contracts, with a focus on software licensing, SaaS procurement, and services agreements.
  • Ensure contracts align with business objectives and legal requirements while mitigating risks.

Legal Compliance:

  • Ensure that all standard company contracts/agreements incorporate relevant and up-to-date legal clauses, including but not limited to Anti-Bribery, Slavery, and GDPR provisions.
  • Conduct periodic reviews to maintain compliance with evolving legal standards.

Due Diligence and Third-Party Relationships:

  • Perform due diligence on all new and existing third-party consultants, agents, and distributors.
  • Develop and maintain procedures for retaining and managing external relationships in accordance with legal and ethical standards.

Compliance Training and Internal Procedures:

  • Deliver annual compliance training to Pole Star personnel.
  • Develop and review procedures for internal review and approval of travel, hospitality, and entertainment expenses related to government officials.

Commercial Litigation and Dispute Resolution:

  • Handle commercial litigation matters and lead dispute resolution efforts.
  • Collaborate with external counsel as needed, providing guidance on legal strategy and objectives.

Commercial Property and Employment Law:

  • Provide legal counsel on commercial property matters.
  • Address generic employment and consultancy law issues as they arise.

Regulatory and Strategic Commercial Matters:

  • Advise on regulatory compliance, government and public procurement matters.
  • Provide legal input on strategic commercial initiatives to support business goals.

Requirements

  • 3-5 years’ Post Qualified Experience (PQE)
  • Specific expertise in IP / data rights
  • Knowledge of data protection laws and regulatory frameworks
  • Strong Organisational skills & attention to detail.
  • Ability to work collaboratively with cross functional teams

Additional Skills: (Nice to have skills which are not mandatory)

  • This is an autonomous role so you must have strong interpersonal skills as well as be commercially minded and highly organised
  • Experience working in a Technology/SaaS business
