Working closely with both internal and external stakeholders, you will be responsible for advising on contract and commercial risks and opportunities of key proposals and ongoing projects. 

A key objective of this role is to ensure that contract risk is appropriately mitigated, providing contract and commercial support to the business, promoting best practice in all commercial aspects of contract tendering.

Requirements

Primary Duties

  • Evaluate and advise on contractual risk in contract drafts including client contracts, subcontracts, non-disclosure agreements and other agreement forms
  • Lead negotiation of contracts, contract amendments and renewals, including annual rate reviews
  • Attend client negotiation meetings and performance reviews
  • Draft contractual documents including amendments, novations and assignments, NDAs, release/reliance letters, etc
  • Advise and assist with resolution of contractual disputes that may arise
  • Provide commercial input to proposals, ensuring legal issues and commercial risks are fully understood and taken on board in preparation of tenders
  • Lead continuous improvement efforts to reduce/manage business risk and actively promote continuous improvement in commercial and contractual aspects of business operations
  • Provide guidance, training and awareness on contractual and commercial aspects to the wider business ensuring early engagement in the contracting process
  • Mentoring and development of contract advisors
  • Regular monitoring and reporting on project commercial performance
  • Ensuring all activities comply with governance policies and procedures and project controls are followed
  • Keep business up to date with relevant changes to regulations/legal requirements

Supplemental Duties

  • Develop and maintain contract templates, contract and commercial management processes and guidelines
  • Support due diligence on new opportunities, clients, suppliers and prospective acquisitions.
  • Commercial review of key proposals especially of high value or complexity and framework/global agreements
  • Assist with set up of new corporate entities
  • Seek board approvals where required, in consultation with regional directors
  • Liaise with relevant stakeholders for negotiation of, and to obtain bonds and guarantees
  • Provide advice regarding Xodus’ insurance coverage
  • Identify opportunities to expand Xodus offerings to clients
  • Keep up to date with relevant legal developments
  • Draft, review and negotiate subcontract agreements

Professional Qualifications and Experience

  • Degree educated in a relevant area such as law or business management is desirable
  • Relevant experience in both client and supplier facing commercial contracts, preferably gained in an engineering/ energy consultancy environment
  • Demonstrably solid understanding of contracts and commercial/legal principles
  • Knowledge and experience of commercial contract law and relevant regulations

  • Strong verbal and written communication skills are essential
  • Excellent literacy and numeracy skills (written and oral)
  • Strong negotiation skills
  • High computer literacy in MS Office
  • Flexibility to adapt to varying business needs at short notice
  • Prepared to use own initiative whenever possible
